Terms of Service

1. Who we are and what these terms cover
epos247 is provided by Basicly Ltd ("we", "us"). These terms apply to your use of the epos247 website, our enquiry and signup forms, free-trial registration, and the epos247 software — including the point of sale, waiter, kitchen display, self-service kiosk, stock and loyalty applications, and the online back office — on any device or terminal, however you obtained them.
2. Your account
Use of the applications requires an active epos247 account. You are responsible for the accuracy of the information you give us, for keeping sign-in credentials and staff PINs secure, and for activity carried out under your account. Tell us promptly if you believe an account or device has been compromised.
3. Licence to use the software
While your account is active and in good standing we grant you a limited, non-exclusive, non-transferable, revocable licence to install and use the epos247 applications to operate your own business. You may not resell, sublicence, rent out or redistribute the software, attempt to reverse engineer or extract its source code except where the law expressly allows, or remove or obscure any branding or notices. We retain all intellectual property rights in the software.
4. Acceptable use
You agree to provide accurate information and not to use the website, applications or devices for unlawful, abusive or fraudulent activity, to interfere with or attempt to gain unauthorised access to our systems or another customer's data, or in any way that disrupts the service for others.
5. Card payments
Where the applications take card payments, that processing is carried out by a third-party payment provider you contract with separately — such as Teya, Dojo, PAX, SumUp or Stripe — under that provider's own terms. We do not process card payments, hold or settle your funds, or act as your payment provider. Settlement, chargebacks, refunds, fees and payment disputes are matters between you and that provider. You are responsible for meeting any obligations your provider or card scheme places on you.
6. Your data
Your business data — your menu, sales, customers and staff records — remains yours. We process it to provide and support the service, as described in our Privacy Policy. Where you collect personal data from your own customers through epos247, you are the data controller for that information and are responsible for having a lawful basis to collect it.
7. Trial and subscription
Trial and paid signups are subject to eligibility checks, service availability, and any commercial agreement shared during onboarding. Free trials run for the period stated at signup and require no payment card. At the end of a trial the account pauses unless a paid plan is taken; your data is retained for 30 days after the trial ends so you can resume, and may be deleted after that. Paid subscriptions are billed as set out in your commercial agreement.
8. Updates and availability
We release updates regularly and applications may update automatically so that all parts of the system stay compatible with one another. We may update, suspend or change functionality where required for operations, security or compliance. We aim to keep the service available at all times but do not guarantee uninterrupted operation; some features depend on your internet connection, your devices and third-party services outside our control.
9. Suspension and ending the agreement
We may suspend or withdraw access where an account is used in breach of these terms, where charges remain unpaid, or where required for security or legal reasons. You may stop using the service at any time in line with your commercial agreement. On termination your licence to use the applications ends; contact us about exporting your data before your account closes.
10. Liability
Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be limited or excluded.
Subject to that, and to the fullest extent permitted by law:
- the service is provided on an "as is" and "as available" basis, and we exclude all warranties, conditions and terms implied by statute or common law;
- we are not liable for loss of profit, revenue, business, contracts, goodwill or anticipated savings, or for any indirect or consequential loss, however arising;
- we are not liable for loss or corruption of data, or for any loss arising from your internet connection, your devices or terminals, or third-party services including payment providers; and
- our total liability to you in connection with the service, whether in contract, tort (including negligence), breach of statutory duty or otherwise, is limited in aggregate to the total charges you paid us in the twelve months immediately before the event giving rise to the claim, or £100 where no charges have been paid.
You are responsible for keeping the sales records and reports you are required by law to keep, and for maintaining your own copies of any data you cannot afford to lose. Any claim must be brought within twelve months of the date you became aware of the circumstances giving rise to it.
11. Changes to these terms
We may update these terms from time to time. The effective date above shows when the current version took effect, and continued use of the website or applications after that date means you accept the updated terms.
12. Governing law
These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
